1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of Sure Cashback, including its

cashback wallet, merchant services, QR Code transactions, rewards, promotions, settlements, and

related services ("Services").

By creating an account or using Sure Cashback, you agree to these Terms. If you do not agree, you

should not use the Services.

2. Eligibility and Account Registration

To use Sure Cashback, you must have the legal capacity to enter into an agreement and provide

accurate and complete registration information.

You are responsible for:

• Keeping your account information current
• Protecting your login credentials
• Completing required KYC or business verification
• Reporting suspected unauthorized account access

Businesses and organizations must ensure that persons managing accounts on their behalf are

appropriately authorized.

3. Sure Cashback Services

Sure Cashback may provide:

• Cashback earning and redemption
• Cashback wallets
• QR Code transactions
• Loyalty rewards and referrals
• Promotional and cashback campaigns
• Merchant discovery
• Digital receipts and transaction history
• Merchant and corporate cashback programmes
• Cluster and association rewards
• Settlement and reconciliation services
• Customer support and dispute management

Availability may vary depending on location, merchant participation, campaign eligibility, or user

type.

4. Cashback and Rewards

Customers may earn cashback on eligible transactions with participating merchants.

Cashback eligibility may depend on the applicable:

• Merchant, outlet, product, or service
• Transaction value
• Cashback percentage
• Cashback cap or limit
• Customer eligibility
• Campaign rules and validity period

Cashback may initially appear as pending while a transaction is validated.

Confirmed cashback may be credited to the customer's cashback wallet and redeemed using available

redemption methods, subject to applicable limits and conditions.

Some cashback may expire. Where applicable, the expiry period will be communicated through the

relevant offer, campaign, or platform notification.

5. QR Code Transactions

Participating merchants may use QR Codes to validate cashback transactions.

Customers must ensure that they scan the correct merchant or outlet QR Code and should report

suspicious or unauthorized QR Codes.

Sure Cashback may reject or reverse transactions involving fraudulent, compromised, duplicated, or

unauthorized QR Codes.

6. Merchants, Businesses and Organizations

Participating merchants and organizations are responsible for:

• Providing accurate business information
• Completing applicable business verification
• Maintaining accurate outlet and settlement information
• Configuring cashback offers correctly
• Honouring valid cashback offers
• Validating eligible transactions
• Protecting merchant QR Codes
• Complying with applicable laws and platform requirements

Corporate organizations may manage multiple outlets, franchises, and authorized users subject to

applicable permissions.

7. Campaigns, Promotions and Associations

Sure Cashback may offer cashback campaigns, loyalty programmes, referrals, promotions, and

association-specific rewards.

Each programme may have specific conditions, including:

• Eligibility requirements
• Participating merchants or products
• Cashback rates
• Limits
• Start and end dates
• Redemption requirements

Those specific campaign conditions form part of these Terms when you participate in the relevant

programme.

8. Refunds, Reversals and Cashback Adjustments

Where an underlying transaction is refunded, cancelled, reversed, fraudulent, or otherwise invalid,

the associated cashback may also be cancelled or reversed.

If cashback has already been redeemed, appropriate adjustments may be made to the user's cashback

balance, subject to applicable law.

9. Settlements and Fees

Sure Cashback may facilitate settlement and reconciliation between participating merchants,

businesses, and other partners.

Settlements may be subject to transaction reconciliation, applicable schedules, cashback

liabilities, verification, fees, commissions, and compliance checks.

Any applicable user or merchant fees will be disclosed before the relevant transaction or through

the applicable commercial agreement.

10. Prohibited Activities

Users must not:

• Create false or fraudulent accounts
• Provide false KYC or business information
• Impersonate another person or organization
• Create fake transactions to obtain cashback
• Manipulate cashback or referral programmes
• Circumvent cashback or transaction limits
• Use fraudulent or unauthorized QR Codes
• Access another user's account without authorization
• Interfere with platform security
• Use Sure Cashback for money laundering, fraud, or other unlawful activities

11. Fraud, Security and Compliance

Sure Cashback may monitor accounts and transactions for fraud, suspicious activity, money

laundering, abuse, and security risks.

Where necessary and permitted by law, we may:

• Review transactions
• Request additional verification
• Delay cashback approval or redemption
• Reverse fraudulent cashback
• Restrict or suspend accounts
• Report relevant activity to competent authorities where legally required

12. Account Suspension and Termination

Sure Cashback may restrict, suspend, or terminate an account where:

• These Terms are violated
• Fraud or suspicious activity is detected
• False information is provided
• Required verification cannot be completed
• The account creates a security or compliance risk
• Suspension is required by law

13. Complaints and Disputes

Users may raise complaints or disputes concerning cashback, transactions, merchants, settlements, or

other Services.

Sure Cashback may request supporting information to investigate and resolve a dispute through its

applicable support and escalation process.

14. Intellectual Property

The Sure Cashback platform, software, branding, designs, technology, documentation, and other

proprietary content belong to Sure Cashback or its licensors.

Using the platform does not transfer ownership of these intellectual property rights to users.

15. Privacy

Personal information collected through Sure Cashback will be processed in accordance with the Sure

Cashback Privacy Policy and applicable data protection laws.

16. Third-Party Services

Sure Cashback may use third-party providers for payment processing, verification, communications,

settlements, infrastructure, and other platform functions.

Certain third-party services may be governed by their own terms and privacy policies.

17. Service Availability and Liability

We aim to provide reliable access to Sure Cashback but cannot guarantee that the Services will

always be uninterrupted or error-free.

Cashback availability, merchant participation, campaign availability, and cashback rates may change

subject to applicable programme conditions.

To the extent permitted by law, Sure Cashback will not be liable for indirect, incidental, special,

or consequential losses resulting from the use of the Services.

Nothing in these Terms limits any liability that cannot legally be excluded.

18. Changes to These Terms

We may update these Terms to reflect changes to our Services, business operations, cashback

programmes, or legal requirements.

Material changes may be communicated through the platform, email, or other appropriate channels.

19. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Where a dispute arises, the parties should first attempt to resolve it through the applicable Sure

Cashback complaint or dispute-resolution process before pursuing other remedies available under

applicable law.
